DLA Piper advises Corsair Capital on acquisition of MJM Holdings

DLA Piper has advised Corsair Capital, a leading private equity firm, on the acquisition of MJM Holdings from its existing shareholders, and the obtaining of financing to complete the transaction.

Corsair Capital is a specialist investment firm offering opportunities for investors and solutions for companies across its private markets Buyouts and Infrastructure businesses. The firm’s buyouts business is a financial services investor focused on making control investments in three verticals: Payments, Software, and Business Services.

MJM Holdings is a fast-growing insurance brokerage platform founded in 2017 with the goal of creating an independent, client-first and expertise-led platform, able to drive sector consolidation in the Polish market. MJM’s three divisions cover property & casualty insurance, commercial motor insurance, and reinsurance, enabling MJM to offer a comprehensive suite of solutions with specialist advice and high levels of service across its focused client sectors.

DLA Piper has advised on transactional advice, financing, and advice on regulatory and structuring components of the transaction. The closing is expected following the obtaining of consent from the President of the Office of Competition and Consumer Protection.

A team from DLA Piper's Warsaw office worked on the transaction and was led and supervised by partner in the firm’s Corporate practice, Piotr Miller, with support from senior associates, Michał Bałdowski and Michał Sowiński. The team also included associate, Michał Celiński, junior associates, Dominik Mizerski, and Konrad Nazarowski, and trainee Michał Bandurski.

Due diligence aspects of the transaction were handled by counsel, Magdalena Koniarska, senior associate, Olga Leśniewska, associates Miłosz Dykacz, Emilia Kalecka and Joanna Kuchna and, junior associates Magdalena Kołodziejczyk, Karol Kuterek, and Agnieszka Tarasiuk.

Counsel, Beata Mrozowska-Bartkiewicz, and senior associate, Dominika Wolf-Jezierska advised on regulatory aspects.

Advice on obtaining financing was provided by counsel, Paweł Turek, associate Ewelina Szlachcic, and paralegal, Marcel Baron.

Advice on obtaining approval from the President of the Office of Competition and Consumer Protection was provided by counsel, Michal Orzechowski and senior associate, Agnieszka Staszek.
