DLA Piper advises Rolls-Royce on acquisition of Team Italia Marine

DLA Piper has advised Rolls-Royce on its acquisition of Team Italia Marine, an Italian group specializing in the integration of navigation systems and ship automation for the mega- and maxi-yacht market.

Through this strategic transaction, Rolls-Royces Power Systems business unit will strengthen its leading position in the global yachts market, expanding its MTU product portfolio with complete “from bridge to propeller” solutions, also consolidating its position as a provider of integrated solutions for the yachts industry.

DLA Piper assisted Rolls-Royce in this important acquisition. On the one hand it will allow Rolls-Royce to significantly expand its portfolio of cutting-edge customer solutions and products, improving its role as a leading player in the Italian market. On the other hand Team Italia Marine will benefit from Rolls-Royce Power Systems worldwide distribution network.

DLA Piper advised the M&A team and the legal team of Rolls-Royce respectively composed by Denise Kurtulus, David Sagan, Christian Glöckler, Nicola Camuffo and from the legal side, lawyers Ben Horsley and Knut Sönnichsen, with a multidisciplinary team led by Corporate partners Benjamin Parameswaran in Hamburg and Christian Iannaccone in Milan. The team was composed of Legal Director Ornella Vastola, Lawyer Giorgia Grande and Trainee Lawyer Fulvio Miano for corporate matters. Partner Fabrizio Morelli and lawyer Francesca De Novellis handled the employment aspects of the transaction. Intellectual property aspects were managed by partner Elena Varese and lawyers Valentina Mazza and Carolina Battistella. Partner Giulio Coraggio and lawyers Giordana Babini and Enila Elezi handled the IT and Privacy aspects. Government regulation/environmental aspects were managed by partner Carmen Chierchia while partner Davide Rossetti handled the litigation and export matters. Partner Valentina Marengo and attorney Chiara Sciaraffa managed the real-estate part of the transaction.

KPMG advised Rolls-Royce on the financial aspects of the transaction with a team consisting of partner Klaus Riccardi and manager Luca Marchetti and on the tax aspects with a team consisting of associate partner Federico Quaiotti and senior manager Lorenzo Schippa.

Mazars advised Team Italia with a team led by partner Massimiliano Vento and composed of lawyers Andrea Gambardella, Luca Battilana, and Dr Davide Mauro for the corporate and negotiation legal aspects of the transaction, while lawyers Matteo Pollaroli and Chiara Favaloro handled employment law aspects.

Giacomo Iannelli, from Mazars Deal Value Creation team, advised the sellers on the management and organizational aspects. Advisor Carlo Conti advised Team Italia on the financial aspects of the transaction. Chartered accountant Leonardo Gabbianelli handled the tax aspects on behalf of the sellers.

The Notary public Ciro De Vivo managed the notarial aspects of the transaction.
