DLA Piper advises Vertex on its recommended cash offer to the shareholders of Pagero Group

DLA Piper advised Vertex, Inc., a leading global provider of enterprise tax technology solutions, in relation to its public tend offer for 100% of the shares of Pagero Group, AB (Pagero), an e-invoicing platform.

The independent bid committee of the board of directors of Pagero unanimously recommended that Pagero's shareholders accept the offer, and the two largest shareholders, representing 40.4% of the shares, have undertaken to accept the offer. Vertex offers SEK36 in cash per share in Pagero, with the total value of the offer amounting to approximately SEK5.8 billion. 

The acquisition of Pagero will accelerate Vertex’s mission to provide multinational companies with an end-to-end solution to automate business transactions and manage indirect tax, reporting and e-invoicing compliance globally.
