Jay Williams represents issuers, asset managers, underwriters, investors and other market participants in a wide variety of structured finance and debt capital markets transactions, including CLOs, warehouse facilities, structured note issuances, resecuritizations, synthetic securitizations, and other secured lending facilities backed by loans (broadly syndicated, middle market and direct lending), commercial and residential mortgages, trade receivables, and emerging asset classes like C-PACE, LIHTC and fintech.

Jay also has extensive experience with swaps, derivatives and repurchase agreements, including warehouse facilities using total return swap or repurchase agreement structures, as well as CRT transactions like regulatory capital relief transactions, synthetic risk participations, and credit-loss insurance.

Jay also advises private funds and their sponsors with respect to investments in all types of asset-backed securities and distressed assets, as well as asset-based lending transactions to obtain leverage on fund investments.

Jay is dual-qualified, practicing both New York and English law.
