David Pennant

David Pennant focuses his practice on representing asset managers and private funds in various transactional and regulatory matters.

David assists fund sponsors in forming and documenting domestic and offshore private investment funds, including private equity funds and hedge funds. David assists these clients in drafting and negotiating fund documents, including limited partnership agreements, subscription agreements, side letters and private placement memoranda.

David also has experience with mergers and acquisitions and assisting clients with other general corporate matters, including formation, SEC reporting and disclosure requirements and corporate governance matters.
