About

Jacob is a banking and financial services lawyer with experience advising financial institutions, borrowers, and issuers in relation to all aspects of transactional banking and finance. In addition to his transactional work, Jacob also advises financial institutions in relation to compliance with financial services regulation.

His experience includes structured finance transactions, debt capital markets issuances, general corporate and institutional lending and acquisition finance.  He has developed particular expertise in receivables financing and securitisation, development funding and property finance. He also often assists offshore clients with domestic aspects of cross-border transactions, and co-ordinates offshore counsel on multi-jurisdictional matters. 

Jacob is ranked as a ‘Rising Star’ by Legal 500 Asia Pacific in Banking and Finance since 2020.

EXPERIENCE

  • Advising borrowers and financiers on all aspects of property investment and development finance. He is experienced advising on various forms of commercial and residential projects.
  • Advising financial institutions on regulatory compliance. As well as advising on licensing requirements, he also often advises financiers on compliance with consumer credit regulation. His experience includes drafting and implementing compliance polices, and standard form loan and security documents. He also advises offshore financial institutions on compliance with New Zealand’s regulatory framework.
  • Acting on wholesale and retail debt capital markets issuances. His experience includes advising issuers, as well as bond supervisors and security trustees.
  • Developing particular expertise in receivables financing and securitisation. He has assisted originators and financiers on the implementation and ongoing administration of various warehouse trusts and other funding structures. This includes a warehouse trust for ‘buy now, pay later’ receivables, and funding for a peer-to-peer lending platform.
  • Assisting borrowers and financiers on a variety of acquisition finance and leveraged finance transactions. He often works in this space with domestic and offshore clients.
  • Advising borrowers and financiers on all aspects of general corporate and institutional financing requirements. His experience spans borrowers in various sectors, including energy, hospitality, insurance, technology and aged care.
  • Completing secondments to the in-house legal teams of a major New Zealand bank, and a leading consumer finance product company.
