About

Diana Nedelcu has more than nine years of experience in both Romanian and international taxation, specialised in VAT, customs duties and environmental fund.

Diana was involved in complex VAT projects such as analysis and optimization of business structures from a tax perspective, chain transactions, tax reviews and VAT compliance for clients within the energy, retail, pharma, telecommunication, industrial products. Diana has also been involved in a wide range of tax consultancy projects that provided exposure to environmental fund tax, customs duties. excises etc.

Even though she is specialized in indirect taxation, she has been involved in a wide range of tax consultancy projects that provided exposure to other taxes as well (e.g. profit tax, WHT, social contributions etc), including restructuring projects, tax due diligence projects, compliance projects, related to both domestic and international taxation aspects.

Diana is a certified Tax Advisor and holds an European Diploma in Indirect Taxation issued by the Institute for Indirect Taxation, UK.

EXPERIENCE

  • Representing a local beer producer in a litigation against the national customs authority having as object the challenge of the tariff classification of one if its beer brands.
  • Assisting an affiliates of the largest manufacturer of oil and gas in the South Eastern Europe on regulatory aspects in relation to an agreement between the client and one Romanian bank having as scope - among others – the provision by the bank via a specialised affiliate of several collection, transport, remittance and processing services in relation to the client’s valuables, including cash.
  • Assisted one of the world’s leading biotechnology companies in all the aspects of the tax audit, from discussions with client’s teams in order to clarify certain aspects in relation with the tax authorities request, liaise with the accounting team (external service provider of the client) and foreign finance team of the client in order to find proper justifiable answers to the tax authorities questions.
  • Assisting a global, research and development-driven pharmaceutical company in reviewing and amending the distribution agreements in place and related commercial policies (i.e., distribution policies, pricing policies, price reductions related policies, etc). The purpose of the assistance was to ensure that the procedures implemented by the company are in line with the regulatory (collaborating thus with other practice areas within the firm) and tax legislation in place in Romania, observe the group directions and limit commercial, competition and tax exposure at the level of the company.
  • Assisting a Swiss pharmaceutical trading entity with identifying the existing tax exposure derived by the manner in which the Romanian business model was envisaged with reference also to the most recent approach of the Romanian tax authorities in this regard. Assisting the client in reviewing and amending internal procedure, distribution agreements, services agreements, clients’ communication with respect to price reduction, promotional campaigns, pass-through discounts, etc, providing also alternative options in line with their wish, but observing in the same time tax and regulatory restrictions.
  • Assisting a CEE large low-cost airline on the tax aspects related to an employment litigation, including aspects related to drafting arguments on the tax treatment applied by the company to the amounts granted to local employees, preparing and submitting refund claims in Romania in relation with personal income tax (PIT) incorrectly withheld from employees and paid to the Romanian state budget.
  • Assisting and representing one of the world's leading online gambling operators in a litigation related to recovery of amounts retrospectively imposed by Romanian authorities for operations performed since 2010.
  • Advising a game developer in Romania with their day-to-day business, relevant legal requirements, and payment of gambling license fees. We also assisted the client with respect to potential implications of the merger with another group on the Romania jurisdiction and operations.
  • Assisting a game developer with obtaining two class II gambling licences in Romania, which became effective in January 2019. We continue to provide the client with advice regarding day-to-day activities.
