About

Jennifer Cleall, K.C. is a partner in DLA Piper’s Edmonton office where she practises business law, with a particular emphasis on corporate/commercial and real estate matters. Jennifer was recognized in 2009 with the prestigious Lexpert Rising Star: Leading Lawyer Under 40 award.

Jennifer has over 20 years experience providing strategic advice to domestic and international clients in a broad range of commercial matters, including:

  • mergers, acquisitions and sales, particularly in the construction, oil and gas and manufacturing sectors;
  • office, retail and industrial leasing, with a particular emphasis on those in the consumer products and retail sectors;
  • Shareholder disputes;
  • all aspects of corporate governance and corporate board matters;
  • real estate development
  • joint ventures, partnerships and corporate reorganization

Jennifer represents clients involved in a wide variety of industries, including construction, energy, consumer and retail products, manufacturing, transportation, government agencies and waste management.  As a key advisor to each organization, Jennifer draws on specialized areas of the firm, including tax, litigation, IP and employment law services, to ensure that her clients’ legal needs are met in a timely, cost-effective and thoughtful way. 

Jennifer acts as the Chair of the Steering Committee for DLA Piper Canada’s Legal Alliance for Women (LAW) and is the Canadian liaison to the Steering Committee for US LAW.

EXPERIENCE

  • Acted for the vendor in the sale of a manufacturing business ($10M) and a US based entity on the recent purchase of two businesses in the oil and gas sector ($30M)
  • Acted for the vendor in the sale of a portion of an oil and gas related business to a US public co, where the total acquisition value was over $300M
  • Acted for the purchaser of an office tower and the redevelopment and transition of the building from commercial space to mixed use space ($30M)
  • Provided all corporate structuring advice to two different US entities involved in Canadian expansion in the retail fitness industry and retail fashion industry
  • Acted for a retail Tenant in the lease of multiple spaces in western Canada totalling more than 100,000 square  feet related to their Canadian expansion
  • Advised a European private investor in its acquisition of a Canadian company (oil and gas) 
  • Acted for one of Canada’s largest registered charities with respect to the sale of its Edmonton commercial space and leasing of new mall premises
  • Continually advises a major Alberta delegated administrative organization and Alberta government agency on all of their corporate legal needs and board governance
  • Completion of the purchase of a parcel of prime development land in the City of Edmonton ($80M) and the purchase of a parcel of prime development land in the City of Calgary ($87M)
  • Acted for the Divestiture Trustee in the divestiture of a landfill in Alberta under the provisions of a consent order made by the Commissioner of Competition
