About

Justyna Bartnik focuses on real estate law and commercial law. She advises clients on the legal aspects of real estate transactions and construction investments, providing support during all stages of the investment cycle; from analyzing the legal status of real properties, through developing project and transaction structures and raising finance to advising on the management of real properties and drafting agreements for the lease of commercial space.

Justyna has significant experience in logistics and warehouse investment projects, which includes drafting agreements for development management, property management and lease of warehouse, manufacturing and office space as well as advice on other legal aspects of the projects.

EXPERIENCE

  • Advising Romanian-Belgian developer SPEEDWELL Development on the purchase of a plot of land from BPI Real Estate Poland and ACTEEUM Group . The land is located in Mokotów, on Obrzeżna Street, and has an area of 2,290 sqm. The plot will be used for the construction of a PBSA building, i.e. private student dormitories with approximately 600 accommodation places.
  • Advising DHL Exel Supply Chain on the cross-border sale (in a model sale and leaseback) of a logistics portfolio of the value of approximately EUR500m, comprising properties in Poland, Germany, the Netherlands, Sweden, Italy and Finland to a major German fund. The transaction is structured as a forward funding agreement. The portfolio included warehouse buildings with the total area around 200,000 sq. m., including negotiation of the general construction agreements and lease agreements.
  • Advising DHL Exel Supply Chain on the transaction related to development of the logistics center with the total leasable area around 30,000 sq.m. in Wielkopolskie voivodeship near Poznań, with leading warehouse developer, including due diligence review, assistance in the process of acquisition of the real properties, negotiating the development agreement as well as assistance in during the construction and post-construction asset management process.
  • Advising Panattoni, on the acquisition of a real property in southern part of Poland as well as the lease agreement and development management agreement concerning its development with a ca. 33,000 sq. m. warehouse-production-office building.
  • Advising the financial institution on the sale of the office building in Warsaw (with a total leasable area of 5,600 sq. m.) together with the sale of shares in the management company.
  • Advising Panattoni, a leading international developer of warehouse and production facilities, on the negotiation of numerous agreements with various investors for the management of a development process concerning multi-let warehouse facilities in a number of locations in Poland, including Łódź, Kraków, Warsaw, Bytom and Poznań.
  • Advising Panattoni, a leading international developer of warehouse and production facilities, on numerous transactions regarding the sale of logistic centres in Poland, including in Łódź, Warsaw and Grodzisk Mazowiecki.*
  • Advising a French real estate investment fund on a transaction regarding acquisition of an office building in Warsaw, Poland, including due diligence review of the property and preparation and negotiation of transactional documentation, the negotiation of insurance policies relating to the titles to real properties, and the negotiation of representations and warranties.*
  • Participating in preparation of a due diligence report relating to the acquisition of logistic portfolio concerning several jurisdictions in Poland, Germany and the UK.*
  • Advising a US real estate investment fund on transaction relating to the acquisition of a logistic centre in Łódź, Poland, including due diligence review of the property and preparation and negotiation of transactional documentation.*
  • Advising a French real estate investment fund on asset management of the office building in Warsaw, Poland, including negotiation of lease agreements, representing the client in pre-court proceedings in disputes with tenants.
