DLA Piper advises Ellimist Singapore on series of significant pharmaceutical M&A transactions

DLA Piper has advised Ellimist Singapore on its successful acquisition of Sagent Pharmaceuticals and Omega Laboratories from Nichi-Iko Pharmaceutical, the Tokyo Stock Exchange listed Japanese company.

Sagent Pharmaceuticals is a US company based in Wyoming, Illinois, which provides essential specialty injectable products across a wide range of therapeutic categories. Its product offering is available to the market in premix bags and prefilled syringes, and both single-dose and pharmacy bulk package vials.

Omega Laboratories is a Canadian pharmaceutical company. Omega Laboratories commercializes various products for healthcare facilities, including sterile injectable and non-injectable solutions. It is one of Canada’s largest domestic specialty injectable pharmaceutical manufactures and provides a wide variety of services, including contract manufacture, licensing, and export for sterile injectable products.

Following the acquisition, DLA Piper subsequently advised Ellimist Singapore on a business combination transaction which saw Omega Laboratories acquired by Juno Pharmaceuticals, a leader in the commercialization of specialty pharmaceutical products. This significant acquisition has created a combined entity that is now the largest specialty generic injectable business in Canada.

The multi-jurisdictional and cross-practice DLA Piper team was led by Singapore-based Corporate partner David Kuo. David was assisted by senior associate Ying Chern Tan and associates Jia De Yam and Darren Foo, all based in Singapore.

David was supported by colleagues in the US and Canada spanning the firm’s Corporate, Environmental, Employment, Litigation and IP practices. In the US, partner Jeffrey Salinger advised on environmental law aspects with support from associate Allie Marinucci. Associates Peter Phillips and Andrew Wolfe from the New York office provided corporate advice. Partner Garrett Kennedy provided employment law advice with support from associates Mary Claire Blythe and Amanda Rooney. Partners Lisa Haile and Christopher Mikson provided IP law advice, while partners Joseph D Guarino, Ilana Eisenstein, Stephen C Matthews, Susan Krumplitsch and Matthew Holian provided advice on the litigation aspects with support from associate Ryan O’Connor.

In Canada, partner Sangeetha Punniyamoorthy and legal administrative assistant Samantha Palmer provided IP advice, while partner Alan Sarhan advised on corporate law. Partners Tania da Silva and Pablo Guzman provided employment law advice with support from legal administrative assistant Loukia Nitsos.
