About

James is a corporate associate and a member of the technology and life sciences licensing and commercial transactions group at DLA Piper. He focuses his practice on representing U.S. and international clients in a wide range of strategic transactions across the life sciences and technology sectors.

James advises public and private companies, ranging from emerging growth companies to Fortune 500 companies, institutions and universities in a broad array of life sciences transactions, including license agreements, collaboration agreements, co-development and co-commercialization agreements, product acquisitions and divestitures and other complex business arrangements. In addition, James regularly negotiates manufacturing and supply agreements, distribution agreements, co-promotion agreements, sponsored research agreements, material transfer agreements, clinical trial agreements, research and development agreements and day-to-day commercial agreements that arise in the life sciences industry.

James also has broad experience counseling clients on mergers and acquisitions, venture financing, royalty monetization deals, corporate formation and governance and other general corporate matters.

  • Represented a U.S. publicly traded company in a multinational license agreement worth over $1 billion in upfront, milestone and royalty payments with a Chinese pharmaceutical company.  
  • Represented a publicly traded multinational research company based in India in a research collaboration agreement worth over $500 million with a healthcare investment company.
  • Represented an early-stage U.S. pharmaceutical company in a license agreement worth over $300 million in upfront and milestone and royalty payments with a publicly traded pharmaceutical company.
  • Represented an academic institution in a funding and research agreement worth over $250 million in laboratory funding and sponsored research with an investor-backed drug discovery enterprise.
  • Represented U.S. publicly traded company in a license agreement worth over $240 million in upfront, milestone and royalty payments with a Taiwan pharmaceutical company.
  • Represented an international pharmaceutical company in its re-negotiation of a license and collaboration agreement worth over $100 million with a U.S. pharmaceutical company. 
  • Represented an early-stage U.S. pharmaceutical company in a license agreement worth over $75 million in upfront, milestone and royalty payments with an international pharmaceutical company.
  • Represented a U.S. publicly traded company in a license agreement with an international NGO to allow suppliers to manufacture a generic version of its COVID-19 drug treatment for low-income countries.
  • Represented a an academic university in the spin-off of one of its premier laboratories into a for-profit biotechnology company and a contract development manufacturing organization.
  • Represented a publicly traded biotechnology company in a $250 million revenue interest purchase agreement with a multinational life sciences investment firm.
  • Represented a pharmaceutical company in a $150 million funding transaction with a global private equity firm.
  • Represented a U.S. publicly traded company in global manufacturing services agreement for a dedicated manufacturing facility with a leading international contract manufacturing organization.
  • Represented various pharmaceutical and biotechnology companies in the establishment of their clinical study operations, including negotiation of clinical trial agreements globally and key contract research agreements.

Prior Experience
