Katie Philippart LaKoma is a leader in DLA Piper's REIT tax practice. She regularly represents fund sponsors in all aspects of the structuring and operation of private investment funds with a particular focus on real estate and real-estate related assets. Katie Philippart LaKoma is a leader in DLA Piper's REIT tax practice. She regularly represents fund sponsors in all aspects of the structuring and operation of private investment funds with a particular focus on real estate and real-estate related assets. Katie also represents a variety of taxable, tax-exempt, foreign governmental and non-US investors in structuring tax-efficient investments in real estate, private equity and hedge funds.

Katie's experience includes providing tax advice to a wide variety of clients in connection with the formation and operation of partnerships, limited liability companies and real estate investment trusts (REITs). Katie has extensive experience in representing REITs and other real estate owners in closing real estate joint venture transactions. She also advises US and foreign corporations and partnerships on acquisitions, divestitures and other restructuring transactions.

EXPERIENCE

  • Representation of numerous fund sponsors in all aspects of the structuring and operation of private investment funds, with a particular focus on REITs, real estate and real estate related assets.
  • Representation of a leading investment management firm with more than US$56 billion in assets under management on tax matters pertaining to REIT formation, REIT operation, acquisition, and disposition structuring, purchase agreement and joint venture negotiation.
  • Representation of a Paris based real estate investment company with more than EUR€8 billion of assets under management on the formation and operation of a private REIT by its Société Civile de Placement Immobilier (SCPI), a French fund structure similar to a REIT, in connection with its initial entry into the US commercial real estate market.  
  • Representation of Hollywood real estate developer and its joint venture with a global investment firm on REIT matters pertaining to the structuring and licensing of a new state-of-the-art Hollywood studio valued at more than US$600 million.
  • Representation of an institutional investment advisor in its acquisition of a REIT owning a 23-asset multifamily portfolio valued at over US$2 billion.
  • Advisement of numerous public, non-traded and private REITs in all US federal income tax aspects of REIT formation, operation and compliance at both the property and REIT-level.
  • Representation of numerous taxable, tax-exempt and non-US investors in structuring tax-efficient investments in real estate, private equity and hedge funds.
  • Representation of a Korean sovereign wealth fund in connection with its investment into U.S. & Canadian infrastructure fund and its co-investment vehicle.
  • Representation of a Korean sovereign wealth fund in connection with the syndication of a 23.75% interest in a $1.5 billion U.S. real estate multi-family venture.
  • Representation of STORE Capital Corporation (NYSE: STOR), an internally managed net lease real estate investment trust that invests in single tenant operational real estate (STORE Capital), in its acquisition by GIC, a global institutional investor, in partnership with Oak Street, a division of Blue Owl and one of the largest investors in net lease real estate, an all-cash transaction valued at approximately US$15 billion, including assumed debt.
  • Representation of BTIG, Jefferies, Piper Sandler and Roth Capital Partners (and certain of their affiliates), as the sales agents, forward sellers and forward purchasers, in the US$500 million “at-the-market” offering of common stock and preferred stock by Innovative Industrial Properties, Inc. (NYSE: IIPR), the only NYSE-listed cannabis REIT.   
  • Representation of JMP Securities, KeyBanc Capital Markets and Huntington Capital Markets, as the sales agents in US$200 million “at-the-market” offering of common stock by LTC Properties, Inc. (NYSE: LTC).
