About

Sally Law is a real estate finance lawyer, with experience advising bank and fund lenders, as well as sponsors, on Hong Kong and cross border real estate financing transactions (including limited recourse loans, direct lending, fund financings, non-performing loans, special situations and mezzanine debts).

Sally is a native Cantonese speaker, speaks fluent English and Mandarin, and can read and write in English and Chinese. She regularly negotiates and drafts finance documents in Chinese in her PRC onshore and offshore real estate financing transactions.

EXPERIENCE

  • Advised PGIM Real Estate joint venture with Dash Co-Living on the acquisition financing of the Ovolo hotel (a 56-key hotel) located in Central, Hong Kong with United Overseas Bank.
  • Advised a Hong Kong-listed investment company on a potential tokenisation debt instrument issuance of a data centre in Hong Kong.
  • Advised a real estate fund on a 2-year revolving subscription credit facility with an accordion option made available by United Overseas Bank Limited.
  • Advised a private equity firm on a subscription facility of USD225m with a syndicate of lenders comprising MUFG Bank Ltd, Mitsubishi UFJ Trust and Banking Corporation, Singapore Branch, Sumitomo Mitsui Banking Corporation, Singapore Branch and United Overseas Bank Limited.
  • Advised a global asset manager on an acquisition loan and development loan extended by DBS Shanghai in connection with a joint venture transaction to acquire a logistics development asset in Hunan, China.
  • Advised a financial consultant in Singapore on its onshore and offshore refinancing with a syndicate of lenders comprising United Overseas Bank, Citibank, Deutsche Bank, Sumitomo Mitsui Banking Corporation, Credit Agricole Corporate and Investment Bank with respect to the commercial property (a designer outlet mall) in Tianjin.
  • Advised a Singapore-based investment holding company on its RMB2.6bn disposal of a designer outlet in Guangzhou, and the restructuring and repayment of its existing financing arrangement.
  • Advised a Korean logistics developer on its joint venture for the establishment of a platform for the investment in logistics facilities in Korea.
  • Advised a Hong Kong-based property management company on its potential acquisition of (i) a HKD800+m senior facility and (ii) a HKD800+m mezzanine facility, backed by certain guarantees and a development property in Hong Kong.
  • Advised a global bank on (i) the repayment in whole and release of collateral in connection with the disposition of the equity interests of the onshore borrower, involving complex escrow and consent matters for the onshore and offshore loans; (ii) the repayment in part and partial release of collateral in connection with the disposition of one of the onshore borrowers in a portfolio deal, involving complex escrow, guarantee and consent maters for the onshore and offshore loans; and (iii) enforcement considerations in connection with the potential refinancing of an onshore/offshore loan.
  • Representing a Hong Kong-based investment management firm in its USD50m subscription facility with United Overseas Bank.
  • Advised a global asset manager on their onshore-offshore financing over a distressed office building in Shanghai.
  • Advised a global bank on the amendment to onshore-offshore financing to an investment firm in the UK. The transaction involves a disposition of a property from one of the offshore borrowers by way of share sale of all the equity interests in its PRC subsidiary.
  • Advising a global asset manager on its acquisition loan and development loan extended by DBS Shanghai in respect of a logistic property in Changsha, China.
  • Advised a regional investment group on its senior guaranteed convertible bonds of up to USD80m to a Hong Kong-listed company.
  • Advised a Hong Kong REIT manager in a USD560+m refinancing of a commercial property in Beijing.
  • Advised a global banking institution in a HKD4 billion and RMB400m financing of an office building in Beijing.
  • Advised a global investment management company in its HKD450+m financing for the acquisition of a boutique hotel in Hong Kong to be redeveloped into a co-living building.
  • Advised a Hong Kong-based real estate private equity investment firm in its RMB42+m onshore and USD7m refinancing from a Singaporean multinational bank for a Shanghai industrial property.
  • Advised a global independent asset management firm in a USD150m net asset value facility for one of its Asia real estate funds.
  • Advised a global banking institution in arranging a USD125+m offshore and RMB90m onshore financing for a PRC property investment and development firm’s acquisition of a portfolio of PRC logistics properties.
  • Advised a Hong Kong REIT manager in the GBP50m refinancing of a portfolio of UK properties.
