Luyao focuses her practice in the area of employee benefits and executive compensation.
She advises public and private companies, private equity firms and their portfolio companies on a wide range of executive compensation and employee benefits matters, particularly in the context of corporate transactions, including mergers, acquisitions, corporate finance transactions, SPAC transactions and others.
Luyao has experience designing and drafting employment, severance, change-in-control and equity-based compensation arrangements and advises clients on compliance with Employee Retirement Income Security Act (ERISA), the Internal Revenue Code, Treasury Regulations and securities laws.
