EXPERIENCE

  • Advising EuroEast, a real estate investment company, on the international tax structuring and the acquisition of three major office buildings in Gdynia from a Polish developer with approx. 20 000 sqm, including a tax and legal due diligence review of the companies and the properties, share purchase agreement, preliminary purchase, and transaction documentation.
  • Representing Employees Provident Fund of Malaysia / KWASA, one of the biggest pension funds in the world in their first investment in a retail asset in Poland, a shopping centre located in the transport hub of Katowice with 47 500 sqm of prime retail space to more than 200 tenants.
  • Advising Revetas Capital, an investment and property manager, on the purchase of a large CEE office and retail developer from a private equity fund (eight office buildings in Poland and one office building in Slovakia, as well as development land in Poland, Slovakia, Hungary and Croatia). Transaction nominated as CEE deal of the year 2018.
  • Advising Blackstone Group International Partners, a company offering financial services, on the potential acquisition of a Pan-European logistic portfolio concerning several jurisdictions, including due diligence review of real estate portfolio of Hemisphere Properties International with the 670 000 sqm portfolio of (i) 29 existing logistics and production investments, located in Poland (14), Germany (9), United Kingdom (3), Hungary (2) and Switzerland (1) as well as (ii) the land reserves and assets under construction.
  • Advising Blackstone Real Estate Advisors on the acquisition of a portfolio of logistics assets in CEE, including 12 existing logistics investments, located in Hungary (5), Romania (4), Poland (2), and Slovakia (1), as well as the land reserves and assets under construction.
  • Advising Partners Group, a private equity firm, on the cross-border purchase of a portfolio of buildings - two located in Warsaw (14 500 sqm and 17 300 sqm), one in Poznań (17 800 sqm) and one in Budapest (23 000 sqm), including a due diligence report and the negotiation of the SPA and APA.
  • RWE AG in connection with legal and transaction advisory in the process of acquiring a portfolio of 162 companies developing PV projects in Poland with expected capacity of over 3 GW and in connection with legal and transaction advisory in the process of acquiring Alpha Solar, a Polish PV projects developer.
  • Advising OX2 in:
    • the sale process of 3 wind farm projects with an aggregate capacity of 66.5 MW (39 wind turbines in total) through the competitive process. The advisory services cover the entire process from vendors due diligence reports to sale agreements, service agreements, development and asset transfer agreements, technical construction management agreements, operation and management agreements and other ancillary documents.
    • the process of selling a wind farm project in Poland, with a total capacity of 45 MW (16 wind turbines in total).
    • the process of sale and planned construction of two onshore wind projects in Podlaskie and Łódzkie provinces in Poland, with a total capacity of 63 MW, to DIF Capital Partners.
  • Advising OX2 on the acquisition of 100% of the shares in companies owning Sulmierzyce Wind Farm which comprises 9 wind turbines with a total capacity of 19 MW, Kalisz Wind Farm which comprises 12 wind turbines with a total capacity of 7.5 MW (and an installed capacity of 8.0 MW), Grajewo Wind Farm project which comprises 18 turbines with a total capacity of 40 MW,
  • Advising EDP Renewables on a due diligence process and acquisition of 100% of shares in a special purpose vehicle, which holds the legal title to the 48MW Dobrzyca Wind Farm project, from Wento. The wind farm project is located in Dobrzyca and Kotlin Municipality, Wielkopolskie Province in Poland.
  • Advising EuroEnergy, a renewable energy subsidiary of Libra Group with assets and operations in the European Union, in the signing of a partnership agreement with Afcon Renewable Energy for an investment program for the  development of 2 renewable energy projects in the Boguszyn, Poland. The value of the investment program is approximately EUR80mln. Τhe partnership will develop and operate a 20 MW solar park, and also provides EuroEnergy with a 100 MW project pipeline.
