Romain Guénin focuses on real estate finance as well as on structured finance, and his experience extends to a broad range of domestic and cross borders financing matters (including syndicated lending, leveraged acquisition and export finance).

Romain developed a strong expertise on complex mortgage financings, assisting lenders (credit institutions, debt funds) and borrowers (sponsors, insurers and other institutional investors) on a wide range of property investment and development financings, involving various types of assets such as logistic, office and hospitality.

Romain has also acquired a solid experience in the loan restructuring and special servicing area, advising on several distressed portfolio mortgage financings.

Romain’s practice covers securitization (incl. CMBS, auto loan receivables, lease receivables, NPL and other asset backed securities), factoring and asset-based lending, in respect of which he advises financial institutions, corporates and originators.

EXPERIENCE

  • Advising Fortress on the French financing aspects of the acquisition from Colony of certain Real Estate funds, co-investment vehicles and other Real Estate positions (either sponsor or lender positions) representing approximately USD 2.7 billion in combined assets (in US and Europe) under management.
  • Advising ING and a pool of lenders (including PBB, Berlin Hyp, NN Investment Partner and AIB) in respect of a €580,000,000 mortgage facility granted for the refinancing of a pan-European portfolio of logistic assets managed by AEW and located in Germany, Netherlands, Czech Republic and Poland.
  • Advising Metric in relation to the setting up of its investment in a joint venture with an independent commercial real-estate developer in Paris, designed for the acquisition and development of a large portfolio of self-stockage sites located in France.
  • Advising Generali in relation to the setting up of two large mortgage facilities for the refinancing of a portfolio of two prime office properties located in the center of Paris.
  • Advising a large US investment fund in relation to a complex financing granted for the acquisition of a large pan-European portfolio, including 53 logistic assets located in France and owned through three different French OPCI vehicles.
  • Advising Mount Street, as servicer and special servicer in respect of Vulcan (European loan Conduit n°28) Limited CMBS involving a French FCT, for the restructuring and recovery of a EUR98.3m mortgage facility secured by a large portfolio of properties located in France.
  • Advising Cheyne Capital as lender in relation to a EUR55 million mezzanine financing granted in relation with the buy-out of the Hotels du Roy portfolio by Colony Capital in the context of the exit of Maranatha (the fifth hospitality group in France) from insolvency proceedings. The mezzanine financing was granted along with a EUR135 million senior financing granted by Natixis, both financings being senior to the existing Cale Street financing, as per the terms of a complex intercreditor agreement.
  • Advising Mount Street, as special servicer in respect of Titan Europe 2006-3 p.l.c. CMBS involving a French FCT, for the restructuring and recovery of a EUR238m mortgage facility secured by a portfolio of 15 properties located in France.
  • Advising TIP as originator in connection with the establishment of a new pan-european asset backed securitization facility for its operational portfolio of trailers, benefiting from the Simple, Transparent and Standardized (STS) label under the EU regulation framework for Securitization. This transaction is worth in the region of EUR 200 million. The senior facility amounts were granted by both Rabobank and Commerzbank, and were secured in particular by a French trust (fiducie-sûreté) over the French trailers.
  • Advising Commerzbank AG in relation to a USD58 million export facility granted to the Republic of Cameroon in order to finance equipment and services deployed in relation with the United Nations Multidimensional Integrated Stabilization Mission in the Central African Republic (MINUSCA).
  • Advising Invesco as lender (acting in particular through its French debt fund) in relation to a mortgage facility granted for the financing of the acquisition and development of a portfolio of existing and future last mile properties located across Europe.
