Riley Combelic has nearly a decade of experience in the investment funds industry, having spent time in-house at a major global asset manager prior to joining DLA Piper. He focuses his practice on private investment funds, separately managed accounts/funds-of-one, syndicated and direct co-investments, fund restructurings, general partner removals, advisory board matters, fund and advisor acquisitions and other consolidations, and fund dissolutions. He represents institutional investors and family offices, from all over the world, on all aspects of their business.
Riley also has extensive experience representing major global asset managers in fund formation, acquisitions, and compliance/operational matters.
Through this work Riley regularly assists clients in reviewing and negotiating investment documentation, including limited partnership agreements, private placement memoranda, purchase and sale agreements, side letters, subscription agreements, and transfer agreements. Additionally, he advises investors on various limited partnership related issues, including amendments to limited partnership agreements, fund restructurings, and the transfer of limited partnership interests. Riley’s work spans various asset classes, including venture capital, crypto/blockchain, private equity buyout, real estate, credit, and infrastructure.
