DLA Piper Canada advised on combination between royalty companies Metalla and Nova
On December 1, 2023, Metalla Royalty & Streaming Ltd. (“Metalla”) (TSXV: MTA) (NYSE American: MTA) and Nova Royalty Corp. (TSXV: NOVR) (OTCQB: NOVRF) (“Nova”) announced that they have completed their previously announced arrangement transaction in which Metalla acquired all of the issued and outstanding common shares of Nova, and concurrently completed a $65 million investment from Beedie Capital comprised of a convertible loan agreement to fund acquisitions and an equity placement. The transaction positions the combined company as a leading emerging intermediate royalty company.
Metalla is a Vancouver-based gold and silver streaming and royalty company which works to increase share value for its shareholders by accumulating a diversified portfolio of royalties and streams with attractive returns. Nova is a copper and nickel-focused royalty company which has assembled a portfolio of royalties on a significant proportion of the next generation of major copper projects located in 1st-tier jurisdictions, providing investors exposure to some of the most critical resource assets for the clean energy transition.
