DLA Piper advises Overhaul in its acquisition of SensiGuard® and securing of US$73 million in growth financing

DLA Piper advised Overhaul, a software-based, supply-chain visibility, risk, compliance and insurance solution for the world's leading brands, in the acquisition of SensiGuard® security services from Sensitech®.

Additionally, DLA Piper advised Overhaul on securing US$73 million in new growth capital including US$38 million in equity and US$35 million in debt financing. Overhaul will deploy the capital to expand globally, enhance products and fund the acquisition of SensiGuard®.

As a global leader of in-transit supply chain risk management, Overhaul transforms real-time visibility into actionable risk management, compliance and insurance solutions for its partners. The addition of SensiGuard will allow Overhaul to provide shippers and logistics service providers 24/7 monitoring capabilities to mitigate the risks associated with theft, damage, chain of custody, and other cargo security threats no matter where the load may be throughout the world.

The acquisition extends Overhaul's global footprint, adding established offices in Brazil, Mexico and Czech Republic, increasing its ability to manage truly global supply chains. The deal also expands Overhaul's client base adding some of the biggest names in tech, pharma and logistics service providers.

“It was a privilege to advise Overhaul on this critical acquisition and growth financing, which will deepen its security services offerings and cements its position as a leader in protecting and optimizing global supply chains,” said Andrew Gilbert, the DLA Piper partner who led the deal team. “On behalf of our team, it was a pleasure to advise the Overhaul team and have an opportunity to demonstrate our extensive global M&A and equity and debt financing capabilities.”

In addition to Gilbert (Short Hills), the DLA Piper team representing Overhaul included partners Scott Cowan (Short Hills), Stephan Harris (Boston), Rick Marks (Washington) and William Bartow (Philadelphia) and associates Jason Parfet, Frances Asbury and Danielle Snow (Austin), Chandler Culwell (Miami), Steve Kellner (Philadelphia), Eduardo Gallastegui (Mexico City), Natalie Gagarkina and Alison Lewandoski (New York), Elise Thomas and James Duchesne (both in Washington, DC) and Nick Gerlach (Palo Alto).

With more than 1,000 corporate lawyers globally, DLA Piper helps clients execute complex transactions seamlessly while supporting clients across all stages of development. The firm has been rated number one in global M&A volume for 13 consecutive years, according to Mergermarket.
