Gerald D. Shepherd
AbogadoGerald Shepherd advises public and private companies, including private equity and real estate funds, in connection with a significant range of real estate and other transactions, including acquisitions, dispositions and financings of properties and portfolios, formation of joint ventures and mergers and acquisitions transactions.
He has represented a number of institutional investors in complex cross-border investments by non-US investors in US real estate assets and companies involving hospitality, retail, office and industrial properties and development projects. Gerald has significant experience with transactions involving public and private REITS, including investments by non-US investors in the United States through private REITS. His real estate practice has also included the making and acquisitions of loans, including mortgage loans, B-pieces of securitized loans and mezzanine loans.
Gerald has also represented both issuers and underwriters in public and private offerings (including Rule 144A offerings) of equity, debt and convertible securities in the United States. He has advised US and non-US clients with their reporting obligations under the US federal securities laws, including their obligations under the Sarbanes-Oxley Act.
EXPERIENCE
- Represented a non-US investor with respect to the joint venture and financing of a newly constructed headquarters building in New York City with a project cost of approximately US$2.1 billion
- Represented a New York based developer in connection with a mixed use project in New York City
- Represented the International Center of Photography on the sale of its 250 Bowery location and the acquisition of its new location at Essex Crossing
- Represented New York Life Insurance Company and The Northwestern Mutual Life Insurance Company in connection with the assumption of the mortgage and mezzanine loans relating to the building located at 425 Lexington Avenue in New York City
- Represented a major US financial advisor in the sale of a business development company investment advisory business to an affiliate of one of the largest private equity firms
- Represented a publicly traded mortgage REIT in the acquisition of skilled nursing and assisted living facilities and the related acquisition financing
- Represented the real estate subsidiary of a major Canadian pension fund in the acquisition of a B-piece note issued in a securitization of a mortgage loan secured by a San Francisco property and the acquisition of a large mezzanine loan relating to an office building in New York
- Represented one of the largest Canadian pension funds in its investment in a joint venture with one of the world’s largest owners of regional malls in a transaction valued at more than $1.8 billion
- Represented one of the largest Canadian pension funds in its investment in a partnership with one of the United States' largest owners of regional malls that owns a portfolio of 13 regional malls with a value of more than $2 billion
- Represented a US publicly traded company in the going private acquisition by its majority stockholder in a transaction valued at $5 billion
- Represented a significant Canadian pension fund in several investments in the United States, including its investment in a major development project in Boston and other acquisitions, both in the United States and internationally
- Represented a major Canadian pension fund in the acquisition of public and private hotel companies and the sales of hotel assets in North America and Europe
- Represented a real estate fund sponsored by a major US investment bank in numerous acquisition transactions, including acquisitions of publicly traded REITs
