Thananan Sangnuan specialised in domestic, inbound and outbound mergers & acquisitions, joint ventures and takeovers (with major focus on financial institutions M&A). Her expertise includes advising financial institutions and commercial banks in managing distressed debt and assets, asset management, NPL transactions, debt restructuring and acquisition finance. She also provides legal advice on securities offerings and rules and regulations of the Office of the Securities and Exchange Commission, the Stock Exchange of Thailand and the Ministry of Commerce. In addition, she has extensive experience in representing various domestic and international private equity funds in their investments and exit transactions.

EXPERIENCE

  • Advised the Standard Chartered Bank (Hong Kong) Limited in relation to due diligence and the acquisition of TMB Bank Public Company Limited’s non-performing loan (NPL) portfolio, as well as in relation to the structuring of a vehicle to acquire the NPLs and establishment of an asset management company.
  • Providing legal services in relation to the establishment of asset management companies (AMCs) to assist in the management of non-performing loans, and the transfer of assets from Thai commercial banks and finance companies to AMCs, as well acting as legal advisor to the boards of directors of the AMCs.
  • Advised The Bank of Nova Scotia, which is one of the major shareholders of Thanachart Bank Public Company Limited, with respect to the merger between TBANK and TMB Bank Public Company Limited. This deal was awarded Best Deal of the Year, by SET Awards 2020.
  • Advised Chubb Limited, the parent company of Chubb Group, one of the world's largest multiline property and casualty insurers, on the acquisition of shares in Chubb Samaagi Insurance Public Company Limited, followed by the partial business transfer of the target to the existing non-life business.
  • Advised Rojukiss International Public Company Limited in connection with the initial public offering and listing of its shares on the Stock Exchange of Thailand, with the value of approximately USD 45.85m. (THB 1.374bn.).
  • Advised domestic and international private equity funds on their investments, managements and divestments of their assets in Thai companies.
  • Advised Effective Planners Limited, the planner for Thai Petrochemical Industry Public Company Limited and its subsidiaries, in the examination of and objections to creditors’ applications for debt repayment under the in-court rehabilitation procedure.
