PartnerAnna Lewis has been advising on UK and cross-border matters for over 15 years. Anna is a leading member of DLA Piper’s International Corporate Reorganizations practice, assisting clients in planning and implementing large, multi-jurisdictional reorganizations and restructuring projects.
Anna is also a highly experienced lawyer in M&A, including running multiple sale processes in an auction context.
Working closely with many DLA Piper offices, relationship firms, and accountants across the globe on a daily basis, Anna has strong connections and teams that she has built to deliver significant and complex transactions.
Anna is particularly active in the Industrials, Life Sciences, and Consumer Goods sectors. She is a member of both the core International Corporate Reorganizations and Industrials steering committees, driving the development and ambitions of these DLA Piper sector groups.
EXPERIENCE
- Medtronic plc on the global pre-sale carve out of its renal care business in preparation for its renal care joint venture with Davita plc
- GE – advising GE on its significant project to separate into independent aerospace, healthcare and energy businesses, each listed in New York
- Klockner Pentaplast – on the large reorganisation of its group to separate and streamline its two core food packaging and pharmaceutical, health and durables businesses. The steps were planned and implemented over a two year period.
- Innovid Corp. (NYSE:CTV), in connection with its acquisition of TVSquared, an independent global measurement and attribution platform for converged TV.
- Arconic, Inc on its group reorganisation and separation involving over 20 jurisdictions in order to spin-off into two separate groups, both listed on the NYSE, Howmet Aerospace, Inc. and Arconic Corp.
- Arconic, Inc on the auction share sale of its UK based forgings business, Firth Rixson Forgings Limited, to US private equity firm Arlington Capital Partners.
- Coupa Software, on its UK legal rationalisation project. Advising on structure and implementing the steps over a two year period.
- Corteva Agriscience on the UK aspects of its internal group reorganisation to optimise its business structure.
- Danaher Corporation on the acquisition of General Electric’s biopharma business, which involved a global reorganisation of General Electric and Danaher’s businesses prior to the acquisition.
- Danaher Corporation following its acquisition of the biopharma business of General Electric, on the group reorganisation and alignment steps to integrate the biopharma business into the Danaher group.
- SolarEdge Technologies on the acquisition by one of its subsidiaries of the entire issued share capital of Hark Systems, a UK-based SaaS and IoT platform provider
- Standard Industries on the global reorganisation and simplification of its BMI group of companies, which manufacture roofing solutions, to enable it to deliver services through a more efficient and streamlined toll manufacturing structure (2019-2022).
- Acting for Bupa Dental on the acquisition of groups of dental practices through share and partnership acquisition routes.
