Rami Zayat represents a broad range of clients from start-ups to mature publicly traded companies, government entities, IT companies, investment companies and private equity firms.

Rami has a broad practice and has extensive experience advising clients across a range of industries in connection with local and cross-border commercial contracts, general IT and services contracts, intellectual property, and corporate matters including private equity and mergers and acquisitions.

Rami also has a focus on non-contentious, IT projects, with particular experience in the delivery of large-scale outsourcings and managed services transactions.

EXPERIENCE

  • Advising on the IT contracts and outsourcing required by a UAE government department in relation to the design, development, operation and maintenance of a state-of-the-art IT platform for the administration of the departments regulatory responsibilities
  • Advising a Saudi government entity on its standard procurement contract the outsourcing of certain IT services and other related services
  • Advising a leading regional airline on its standard contracts for procuring IT goods and services
  • Advising the Gas & Oil Field Services Company (GOFSCO) in relation to the large-scale procurement of software, systems and maintenance services along with its general outsourcing arrangements
  • Advising Etihad Airways on their US$ 700 million global IT outsourcing programme to IBM
  • Acting for a GCC based telecom provider in the proposed acquisition of a majority stake in a Kuwait based telecommunications company
  • Advising Amwal International Investment Company as advisor to the selling shareholders on the sale of a 30 percent stake in a Abyat Megastore Company, KSCC
  • Advising Apparel FZCO on the purchase of a 51 percent majority stake in each of Apparel General Trading Company WLL and Mondial General Trading Company WLL
  • Advising Amwal International Investment Company on the purchase of a majority stake in a Kuwaiti brokerage company with subsidiaries in Turkey, Jordan and the UAE
  • Acting for a leading Kuwaiti building and civil construction and infrastructure company in the spin off and sale of its elevator business to a leading and global provider of elevators including the drafting and negotiation of the transaction documents
