EXPERIENCE

  • Advising Pricoa Private Capital, the European asset management arm of PGIM Inc., on the provision of long-term financing worth EUR100m to Fair Market Value Capital Partners UK Limited and TD Asset Management Inc., to support the acquisition of a 28% stake in PSA Italy, a port operator and supply chain company, from PSA International.
  • Advising the Italian branch of a Spanish bank on the EUR 250m facility agreement granted to a manufacturer of chocolate and confectionery products for the purposes of financing its working capital.
  • Advising a leading investor in the energy transition, and nine of its Luxembourg subsidiaries, in the structuring, negotiation and implementation of a EUR338m common terms and facilities agreement and a EUR57m junior tranche facility agreement with an American multinational investment bank and the related Luxembourg security package for, inter alia, the acquisition of 49% stake in a German strategic offshore wind farm, from a German subsidiary of a worldwide leader in renewable energy.
  • Advising the Luxembourg subsidiary of the client (INEOS Solvent Holdings S.A) in relation to the refinancing of an existing New York law governed TLA/TLB credit agreement for the purposes of, among others, repaying existing TLB loans and offering working capital for future acquisitions, in the context of a multijurisdictional transaction, with 13 jurisdictions involved, valued at approximately EUR1.7bn.
