About

Marcell heads the Finance practice in Vienna. He is a banking, finance and projects practitioner with many years of international experience. Marcell is qualified in England and Hungary in addition he is registered as a European lawyer with the Vienna Bar Association.

With his knowledge in banking and capital markets law Marcell advises on a wide range of complex financial matters including lending, infrastructure projects, regulatory and other banking transactions such as acquisitions and loan portfolios. One of his areas of focus is English-law project and corporate financing in Central and Eastern Europe. 

His practice covers a number of sectors including banking, infrastructure and fossil as well as renewable energy. In the energy sector Marcell represents lenders and sponsors alike, as well as real estate and other funds and investors (equity or mezzanine debt funders) and is familiar with all structuring options available on the relevant markets.

Marcell is the author of numerous publications on banking law and financial issues and a university lecturer.

EXPERIENCE

  • Advising the IFC in relation to the subscription on the Luxembourg stock exchange in eligible MREL and Basel III Tier 2 capital subordinated bonds in the amount of USD200m and the related policy agreement.*
  • Advising the IFC in relation to an USD300m credit facility extended to the Polish subsidiary of the South Korean SKIET Group, guaranteed by the parent, syndicated to parallel A lenders and participating B1 lenders. This was one of the first transactions in Poland applying the SOFR rate of the Federal Reserve Board.* 
  • Advising EGB and their Serbian subsidiary as well as UniCredit Serbia and Commercial Bank Serbia in relation to the EUR150m refinancing of the USCE Shopping Mall and Office Buildings (1 and 2) in Belgrade, sponsored by the South African Atterbury and the Serbian MPC Groups, implicating a complex demerger process affecting two borrowing entities.*
  • Advising EGB, OTP and RLB in relation to the EUR410m Facility Agreement provided to four project companies of the IULIUS/ATTERBURY Groups in Romania.*
  • Advising TAG TransAustria Gasleitung AG in relation to ist RCF facilities with UniCredit Bank Austria, EGB and Bayerische Landesbank in the total amount of EUR400m.*
  • Advising RBI and Intesa and their subsidiaries in Slovenia, Croatia and Serbia in relation to the EUR120m facility agreement provided to certain Ukraine based sponsors aimed at refinancing the Eurobonds issued by a Cyprus based issuer on the Luxembourg stock exchange.*
  • Advising the bondholders in relation to project bonds issued by a project company operating a solar project in the Czech Republic sponsored by the Austrian ENERY Group, with a global US based investment bank acting as bookrunner and security trustee.*
  • Advising a European financial institution BSTDB, IFC, EIB, UniCredit, SocGen and KommunalKredit as lenders to the concession company in its successful bid to acquire and operate Sofia Airport (Bulgaria) in an EUR500m acquisition by Meridiam and Strabag AG with Munich Airport acting as airport operator.*
  • Advising VTB Germany in relation to an EUR80m ECA-backed structured financing provided to the Marshall Islands SPV of Croatian DIV Grupa owning the Brodosplit shipyard, in relation to the construction of the vessel called Star Clipper.*
  • Advising the sponsors in relation to the EUR650m leveraged acquisition of a subsidiary of the Austrian oil & gas company OMV as well as its refinancing.*
  • Advising UniCredit Slovenia in relation to the first sale and lease-back transaction in Slovenia involving real estate owned by the Mercator Group, a retail supermarket chain belonging to the Croatian AGROKOR Group (in insolvency).*
  • Advising one of the consortia bidding for the concession rights related to the Hungarian M6/60 motorway.*
  • Advising the credit rating agencies in relation to the refinancing of the first phase of the Hungarian M6/60 motorway, the first transaction in Hungary involving a monoline insurer.* 
  • Advising the credit rating agency in relation to the planned EUR2bn structured secured bond issue by the company holding the state-owned Hungarian motorways.*
