Miriam has more than 25 years of experience in corporate law and contracts and specializes in mergers & acquisitions, with extensive experience in corporate reorganizations, mergers, and acquisitions (pure M&A), private equity operations, debt restructuring and corporate regulatory issues.
Miriam works for buyers, sellers, and investors, providing legal advice and presenting innovative solutions that meet the specific needs of each operation.

EXPERIENCE

Experience in M&A transactions involving the sale and purchase of distressed assets, including as Isolated Productive Units (“UPI”). Corporate restructurings and reorganizations. Specific knowledge of advertising and communications industries, agribusiness, clean energy and hydroelectric power, laboratory and testing services, tourism sector, among other.

Corporate and reorganization matters related to public bids;

  • Assistance to a Qatar defense and security company in conducting due diligence for a proposed acquisition of a minority equity stake in a distressed Brazilian company (judicial recovery). This company specializes in designing, developing, and manufacturing defense products and services, including its subsidiaries. The due diligence encompassed a significant regulatory aspect due to the company's strategic business plans and agreements with the Armed Forces of the Brazilian Government.
  • Assisted a Spanish group in the communications industry to acquire a majority stake in a Brazilian based communications and advertising group with operations in several jurisdictions.
