Edith Liu is a Senior Associate in the Tax team based in DLA Piper's Hong Kong office. 

Edith focuses her practice on private wealth matters and tax controversies. She has extensive experience advising clients on different aspects of estate and trust planning, which incorporates tax considerations. She advises clients on the establishment, administration and termination of trust, preparation of wills, and estate administration.  

In addition, Edith advises international and local corporate clients in legal and tax compliance, handles field audits and tax investigations, and provides tax advice on corporate acquisitions and restructuring transactions.

EXPERIENCE

  • Advising a reputable global household goods distributor on its Hong Kong offshore claim matter by formulating a viable offshore claim, gathering documentary evidence, handling enquires from the Inland Revenue Department and representing client in its tax audit as well as restructuring the client's current operations to enhance tax efficiency. Settlement was reached with the Inland Revenue Department.
  • Advising the Hong Kong subsidiaries of a NYSE-listed footwear designer and distributor on its Hong Kong offshore claims matter in both profits tax unit and field audit unit of the Inland Revenue Department.
  • Advising a fast-growing start-up in the logistics industry on its internal group restructuring, as preparation for raising funds through an IPO. Following the restructuring and definitive merger, the client is being publicly listed on the NASDAQ and have a pro forma enterprise value of approximately USD435m. The internal group restructuring involves a series of complicated corporate actions with our expertise on tax related issues to achieve tax efficiency.
  • Advising a motor sport company on its global restructuring project from Hong Kong tax perspective and assisting its Hong Kong subsidiary in over 100 transfers of shares across different classes of shares and liaising with the Inland Revenue Department on stamping. 
  • Advising a global technology company focusing on security, privacy and performance for storage and sharing on the tax implication of its intellectual properties restructuring, with particular focus on the foreign sourced income exemption regime and initial transfer pricing analysis. 
  • Advising client on the application of Tax Reserve Certificate for purpose of satisfying the requirements of offshore receipts in respect of intangible property (ORIP) under the UK tax regime.
  • Advising an ultra-high-net-worth individual on several private wealth management planning options with cross-jurisdictional tax considerations. Assisting client in devising and implementing trust structure, including initial planning and advice, pre-trust corporate restructuring, establishment of trust (both Hong Kong and US foreign grantor trusts) and ongoing management and operation of the trust. 
  • Setting up of Hong Kong trust for a high-net-worth family for asset protection and family succession. Assisting client in setting up a private trust company in Hong Kong, advising on the transfer of assets in achieving tax saving and advising on ongoing trust administration. 
  • Advising a dual-listed company in devising and implementing the employee incentive scheme, including initial planning and advice, liaising with professional trustee on the pre-establishment stage, establishment of trusts and the exercise of protector's powers. 
  • Advising on the implementation of an employee benefit trust for a listed company in Hong Kong.
  • Advising the trustee on the final distribution of trust fund consisted of Cayman Islands exempted limited partnership interest holding a real estate development project.
  • Advising a high-net-worth individual on preparation of will with Hong Kong and foreign tax consideration and concerns over family harmony and succession.
