Robbie acts for issuers and dealers on public and private offerings, stock exchange listings, IPOs and RTOs, mergers and acquisitions, restructurings and continuous disclosure obligations for public companies, across a wide variety of industries and business sectors, with extensive experience with cross-border transactions.

Representative experience includes acting for:

  • Advised Dye & Durham on Canadian capital markets matters in connection with its private offering of US$555 million ‎aggregate principal amount senior secured notes due ‎‎2029 as part of its US$950 million refinancing transactions.

  • Acted for Quipt Home Medical Corp. (NASDAQ: QIPT; TSX: QIPT) in connection with the filing of a base shelf prospectus ‎for up to $300 million of securities of the issuer.

  • Quipt Home Medical Corp. (NASDAQ:QIPT; TSXV:QIPT) in connection with its US$80 million acquisition of Great Elm Healthcare, LLC, a division of Great Elm Group, Inc. (NASDAQ:GEG).

  • The Well Told Company Inc. (TSXV:WLCO), a female-founded, emerging plant-based wellness company that formulates, develops, distributes and sells a variety of supplements, remedies and other functional wellness products, in connection with its private placement of unsecured convertible debenture units, led by Canaccord Genuity Corp., as lead agent on behalf of a syndicate of investment dealers, including Echelon Wealth Partners Inc. and Richardson Wealth Limited.

  • Cedarmont Capital Corp. (TSXV:CCC.P), a capital pool company, in connection with its $67.5 million reverse take-over “qualifying transaction” with Shiny Bud Inc. and Mihi Inc.

  • EasTower Wireless Inc. (TSXV:ESTW), a US based telecommunications company, in connection with its $15.05 million reverse take-over and concurrent financing going public “qualifying transaction” of OV2 Investment 1 Inc., a capital pool company.

  • Revive Therapeutics Ltd. (CSE:RVV) in connection with a $23 million short form prospectus offering.

  • Protech Home Medical Corp. (TSXV:PTQ) in connection with its $31.8 million short form prospectus bought deal offering and concurrent private placement of units.

  • Protech Home Medical Corp. (TSXV:PTQ) in connection with its bought deal private placement of unsecured convertible debentures, led by Beacon Securities Limited, and including Canaccord Genuity Corp. and Haywood Securities Inc., for gross proceeds of $15 million.

  • GBLT German Battery & Lighting Technologies PLC in its initial public offering and $66 million reverse take-over (the Qualifying Transaction) of CUP Capital Corp. (TSXV:CPU.P), a capital pool company.
  • BlueRush Inc. (TSXV:BTV) in its asset sale of technology and source code to Broadridge Financial Solutions, Inc. (NYSE:BR).
  • Protech Home Medical Corp. (TSXV:PHM) in connection with its bought deal private placement of common shares, led by Beacon Securities Limited, and insider private placement, for aggregate gross proceeds of $4.5 million.

  • Focused Capital Corp. (TSXV:FLO.H), a capital pool company, in connection with its $20.5 million “qualifying transaction” with True North Nickel Inc. ("TNN") by way of a three-cornered amalgamation.
  • Patient Home Monitoring Corp. (TSXV:PHM) in its cross border corporate spin out transaction of Viemed Healthcare, Inc. (TSXV:VMD).
  • Goodman & Company, Investment Counsel Inc., a wholly-owned subsidiary of Dundee Corporation (TSX:DC.A), in the structuring and offering of the Goodman & Co. Partners Strategy, an open-end trust, and the Goodman & Co. Core Equity Strategy, an open-end trust.
  • Patient Home Monitoring Corp. (TSXV:PHM) in connection with its bought deal private placement of common share units, led by Mackie Research Capital Corporation and including GMP Securities L.P. and Beacon Securities Limited, for gross proceeds of $67.3 million.
  • Inspira Financial Inc. (TSXV:LND) in connection with its $48 million “qualifying transaction” through amalgamation with Chrysalis Capital IX Corporation (TSXV:NYN.P), a capital pool company.
  • Dominion General Investment Corporation, a capital pool company, in connection with its $28.4 million “qualifying transaction” through share exchange with Hampton Equity Partners Limited, which operates, through its wholly-owned subsidiary, Hampton Securities Limited, a Canadian boutique investment dealer.
  • Cluny Capital Corp. (TSXV:CLN.H), a capital pool company, in connection with its “qualifying transaction” with Teonan Biomedical Inc. and concurrent financing.
  • Convalo Health International, Corp. (TSXV:CXV) in connection with its bought deal private placement of common share units, led by Mackie Research Capital Corporation and including Beacon Securities Limited, for gross proceeds of $17.25 million.
  • Convalo Health International, Corp. (TSXV:CXV) in connection with the $10.6 million “qualifying transaction” through amalgamation with Valiant Minerals Ltd. (TSXV:VTM.H), a capital pool company.
  • A private real estate fund, in its structure and funding (US$10.6 million) of a US$41 million U.S. based real estate development.
  • Think Protection Inc., a home security company, in its financings. 
  • Patient Home Monitoring Corp. (TSXV:PHM) in its acquisition of Sleep Management, a provider of home based medical services in 19 states across the U.S., for US$80.5 million in cash and stock.
  • Healthcare Special Opportunities Fund (TSX:MDS.UN), a closed-end fund focused on the healthcare industry, in its initial public offering raising aggregate proceeds of approximately $70 million (including a concurrent private placement) led by BMO Capital Markets.
  • Maxit Capital LP which provided fairness opinions and acted as financial advisor to both Solitario Exploration & Royalty Corp. and Ely Gold & Minerals Inc. in their agreement to sell their combined interests in the Mt. Hamilton gold project to Waterton Nevada Splitter, LLC, a wholly-owned subsidiary of Waterton Precious Metals Fund II Cayman, LP, for total cash proceeds of US$30 million.
  • Petroteq Energy Inc. (TSXV:PQE) in its US$12.8 million debenture and concurrent secured convertible debenture financings.
  • MCW Energy Group Limited (TSXV:MCW) in its acquisition of TMC Capital, LLC, which holds a mineral lease related to tar sands, oil and other minerals located in Utah, in consideration for US$10 million.
