Elizabeth Emerson is a Senior Associate in the Tax practice group. 
Elizabeth acts for a wide range of clients including US and non-US multinationals and listed and unlisted companies. 
She has a wide range of experience advising on UK and international tax matters (both transactional and advisory in nature), in particular M&A, structuring and restructuring. 
She also has extensive experience advising on warranty and indemnity insurance and tax risk insurance policies, both for underwriters and insureds.
Elizabeth is a Chartered Tax Adviser.

EXPERIENCE

  • Advised a US insurance group on a European business acquisition in the Nordics.
  • Advised the Eagle Football group on structuring and completing its acquisition of a significant controlling stake in Olympique Lyonnais Groupe (OL Groupe), owner of French Ligue 1 football side Olympique Lyonnais.
  • Advised the San Francisco 49ers on their acquisition of Leeds United FC, including a pre-acquisition restructuring. 
  • Regularly advise a number of leading tax underwriters on W&I policies and on the underlying risk being covered by, and the terms of, specific tax risk policies in jurisdictions across Europe, Asia and the US. 
  • Advised global investment firm Carlyle on the tax structuring of its acquisition of Evolution Funding, the UK’s largest used auto finance platform. 
  • Advising a multinational insurer on the UK tax implications of a proposed group restructuring involving UK, US, Philippines and Chinese entities.
