About

Almudena is a legal director in the M&A and Private Equity team at DLA Piper’s Madrid office. She has extensive experience in advising both corporate and private equity clients, management teams and other stakeholders on a range of domestic and international matters, including M&A transactions, private equity deals, restructurings and joint ventures with a particular focus on the real estate sector. 

Within this sector, Almudena has established wide-ranging expertise in the hospitality and leisure sector, enabling her to provide comprehensive advice on a broad range of matters, including acquisition, construction, lease, management and franchise agreements and hybrid structures.

In addition to her M&A and private equity experience, Almudena has spent time out of the firm working as in-house of a global investment firm and fund manager. This has given her first hand commercial insight into the structuring, creation and operation of domestic and international funds, carried interest vehicles, managed accounts and other structured investment vehicles. She also advices on primary investments, secondary transactions, direct co-investments in private equity, venture capital and real estate.

EXPERIENCE

  • Advice to a family office in the acquisition of hotel Velázquez, Madrid, on the negotiation of a joint venture agreement to jointly acquire the hotel and advice provided to both partners in connection with the acquisition transaction.
  • Advice to Swedish group Holmen AB on the sale of its Spanish business and on the sale of its participation in two additional subsidiaries located in France and Portugal.
  • Advice to a real estate investment fund in connection with its joint investment alongside a Spanish partner to develop business opportunities in the hospitality market.
  • Advice provided to GE on the sale of automotive credit portfolio.
  • Advice provided to ING Bank on the sale of Moraleja Green shopping mall.
  • Advice provided to Mandarin Oriental and Olayan in the acquisition of Hotel Ritz Madrid including the implementation of its international tax structure, joint venture agreement between the buyers and the negotiation of the share purchase agreement and all ancillary matters.
  • Advice provided to an American private investment firm in the acquisition of a real estate loan and asset portfolio.
  • Ongoing advice to listed companies on the implementation of the provisions of the Spanish Corporate Act relating to the remuneration of executive directors. 
  • Advice provided to a large international global sciences player in the acquisition of a healthcare division in Spain.
