Mei Mei Wong has extensive experience in advising on complex and high value debt finance transactions with a particular focus on cross-border leveraged/acquisition financing, fund financing and corporate financing. She is also experienced in advising on structured and co-invest transactions involving a combination of debt and structured products.

Mei Mei Wong represents DLA Piper on the LMA Fund Finance Documentation and Guidance Working Group and the LMA ESG Committee. In these capacities she collaborates with other market leaders to facilitate the establishment of best practice guidelines.

Her clients include investment funds (including private equity, credit, secondaries, real estate and infrastructure), multinational corporates, financial institutions and alternative credit providers.

EXPERIENCE

Fund Finance

Experience includes advising private equity funds, credit funds, secondaries funds, real estate funds and infrastructure funds on fund financing facilities, both syndicated and bilateral, including:

  • subscription line/capital call facilities;
  • asset-backed/NAV facilities;
  • umbrella facilities;
  • hybrid facilities; and
  • manager/GP lines.

Experience also includes advising on mergers and acquisitions transactions involving the above structures.

Leveraged/Acquisition Finance

  • Alchemy Copyrights, LLC on its USD500m secured interim facility agreement made available on a certain funds basis by Athene USA Corporation to finance a USD468.8m recommended cash offer by Concord Cadence Limited for Round Hill Music Royalty Fund Limited, a London listed company.
  • Azrieli Group on the syndicated refinancing of its USD850m acquisition of Norwegian data centre provider Green Mountain, and the financing considerations of Green Mountain's expansion into the United Kingdom data centre market.
  • Global Telecom Holding, an Egyptian listed company, on its USD200m bridge facility to finance a tender offer to buy back 10% of its share capital, and subsequently the finance aspects of VEON's mandatory tender offer for USD2.3bn of the remaining share capital, recognised as “Telecom M&A Deal of the Year – Emerging Markets” at the TMT M&A Awards.
  • Neqsol Holdings and Bakcell on the bridge financing and bond take-out for its USD743m acquisition of Vodafone Ukraine.
  • YouGov plc on its entry into a EUR280m term and revolving facilities agreement made available to finance the acquisition of GfK's Consumer Panel Services and general corporate purposes.

Corporate Finance

Experience includes advising:

  • VEON, a major global telecommunications group, on over USD3bn of debt financing facilities.
  • Department for Transport on the finance aspects of the Heathrow Expansion Programme, including advising on the financing structure of the Heathrow Group and delivery support options.
  • Merlin Entertainments plc, one of the world’s largest attraction operators, on its GBP600m revolving credit facility and issue of USD400m 5.75% Senior Notes.
  • PCC Global plc on its up to EUR230m term and revolving facilities agreement for purposes including the refinancing of European private placement notes.
  • Sweden’s largest fuel corporation on its USD2.14bn revolving borrowing base and term facilities.
  • Joint administrators of NMC Health PLC on the finance aspects of its restructuring strategy for the NMC group (the UAE’s largest private healthcare group).
