DLA Piper advises PSA Baltics on acquisition of Loconi Intermodal

DLA Piper has advised PSA Baltics N.V., a member of PSA International on the acquisition of 85% of shares in Pickhill Investments, a holding company and majority owner of Loconi Intermodal and commencement of a strategic partnership with ATC Cargo that will see ATC Cargo holding the remaining 15% shares in Pickhill.

Loconi Intermodal is a company specializing in organization of intermodal transportation, operating approximately 250 trains per month and carrying approximately 250,000 twenty-foot equivalents (TEUs) per year on key rail corridors in Poland.

PSA International is one of the world's largest port operators with a presence in 45 countries, with two flagship terminals in Singapore and Belgium. In Poland, PSA International operates through PSA Baltics. 

A team from DLA Piper's Warsaw office worked on the matter, providing comprehensive legal and tax advice. Advise included structuring the transaction, preparation and negotiation of the transaction documentation, including the share purchase agreement, and shareholders' agreement and documents related to the provision of debt financing to Loconi Group companies.
