Masahiro Wakabayashi has over 25 years’ experience in the financial services sector, having practiced in both Japanese international law firms and in in-house roles, including at top international investment banks, a Japanese infrastructure fund and, most recently, at a Japanese megabank securities firm. He was General Counsel and Statutory Internal Management Officer at a Japanese megabank private banking securities firm.

Masahiro focuses on finance and advises clients on both contentious and non-contentious legal and regulatory issues based on his insights on the business and the financial regulatory environment and related experience in solving both regulatory and transactional issues faced by financial services sector institutions.

His coverage includes financial services sector regulatory compliance, derivatives and markets transactions, asset management and fund formation, FinTech, private banking and wealth management and investment banking and capital markets transactions. He has also advised clients transactions in energy sector including renewable energy and carbon credits.

EXPERIENCE

  • Advising on the legal and regulatory aspects of capital markets products and transactions, including derivatives, derivatives regulation, structured notes and funds, securitization, distressed debt trading and cash equity.
  • Advising financial services sector clients on establishing business operations in Japan.
  • Advising on compliance and regulatory matters involving the Financial Services Agency and the Securities and Exchange Surveillance Commission of Japan, including in connection with their on-site investigations.
  • Advising, as General Counsel for a Japanese infrastructure fund, on its power plant development projects in Japan, Indonesia, Thailand, the Philippines Vietnam and Cambodia as well as on corporate and regulatory matters relating to its retail electricity supplier business.
  • Advising a Japanese government ministry on legislation on the Act regarding Small and Medium Enterprise Investment Limited Liability Partnership Contracts (the Act on Investment Limited Liability Partnership Contracts).
  • Advising a Japanese government ministry on its proposal on legislation of the Civil Rehabilitation Law.
