Mike Nissim's practice focuses on representing US and non-US institutional investors, including funds of funds, secondary funds, financial institutions, governmental and employee pension plans, endowments, insurance companies and other corporate entities, family offices and other institutional investors in a wide variety of private fund related transactional matters.
Mike has significant experience representing both buyers and sellers of secondary fund interests. He has led a large number of secondary transactions for more than a decade, ranging from transfers of small to very large secondary fund portfolios, tender offers, GP-led continuation fund secondaries, captive fund interest transfers, club deals, real estate related joint ventures, investments in secondary funds with seed arrangements, strip sales and purchases and other types of secondary related transactions.
During his career, Mike has also been very actively involved in working with institutional investors in connection with their investments in both commingled and captive funds (including SMAs), as well as co-investments and similar transactions. In connection with such transactions he has reviewed documentation related to a broad range of private funds with a variety of strategies including buyout funds, real estate funds, venture funds, infrastructure funds, credit funds, hedge funds, energy funds and other funds with various specialized strategies.
Mike also has significant experience with fund formation, public and private mergers and acquisitions and offerings of debt and equity securities.
