DLA Piper facilitates landmark insurance portfolio transfer for St Andrew’s Insurance Group

DLA Piper is pleased to announce that the Federal Court of Australia has confirmed, by way of scheme of arrangement, the transfer of the St Andrew’s Group’s insurance and life insurance businesses to Hallmark Insurance.

The scheme gives effect to an intra-business transfer within the St Andrew’s Insurance Group, as part of an ongoing corporate merger and integration project.

The scheme project was jointly led by Samantha O’Brien, Corporate Partner and Natalie Caton, Litigation and Regulatory Partner, with Senior Associates Elly Brand (L&R) and Ann-Marie Coleman (Corporate), and Solicitors Aimee Griffin (L&R) and Sara de Haan (Corporate). Sonia Tame and Michael Izzo SC were briefed as Counsel.

Natalie says “This was a significant and exciting scheme to be involved in given it was the first of its kind, as a joint general insurance and life insurance scheme. It was also great to work with such highly experienced Counsel in Michael and Sonia”.

The confirmation of the scheme was the culmination of many months of hard work from the DLA Piper team and St Andrew’s.
