EXPERIENCE

Banking and Finance:

  • Advised a leading banking institution in the granting of a syndicated credit restructuring of a major Chinese retailer’s debt. The new loan was granted for MXN$1.5 billion Pesos and was secured through a management and source of payment trust agreement to which collection rights arising from credit and debit card payments made through point-of-sale terminals in Mexico were assigned.
  • Advised private equity fund (SOFOMs) part of the Altum Capital group in the granting of credit agreements in favor of several Mexican companies, including a solar panel company, for MXN$100 million Pesos; a construction company, for MXN$300 million Pesos; a leasing company, for MXN$100 million Pesos; food manufacturing companies, for MXN$150 million Pesos; an automotive manufacturing company, for MXN$57.5 million Pesos; and the acquisition finance of a leading canned food company, for MXN$150 million Pesos, all secured through management and source of payment agreements.
  • Advised a Mexican REIT, in a private securitization to a Guaranty, Management and Source of Payment Agreement (the “Trust Agreement”), for MXN$185 million Pesos, and the implementation of guaranty agreements, including the Trust Agreement to which certain collection rights arising from expired portfolio comprised of mortgages and allotment rights were contributed along with 99% of the shares and equity interests of the joint obligors to the credit agreement, the amendment to a management agreement, regarding the collection of the expired portfolio rights, a share and equity interests pledge agreement over the shares and equity interests not contributed to the Trust Agreement, and a nonpossessory pledge agreement over the assets of the expired portfolio and trustee rights under the Trust Agreement.
  • Advised a leading banking institution in the financing to a subsidiary of Grupo Hotelero Santa Fe, S.A.B. de C.V., for the construction of a Secrets® hotel in Quintana Roo.
  • Advised a Mexican government-led lender, in the debt restructuring of a subsidiary of the Macquarie Group, for USD$20 million Dollars.
  • Advised a Mexican government-led lender, in the granting of a loan agreement to a Mexican infrastructure company and the implementation of guaranty documents, including the amendment of 22 mortgages granted in favor of Bancomext, as mortgagee, for USD$35 million Dollars.

Mergers & Acquisitions:

  • Advised Paystand, Inc., a business-to-business Payments Platform, Systems, & Software leading U.S. start-up, in the agreement and plan of merger and reorganization with Yaydoo Inc. (“Yaydoo”), granting a valuation to Yaydoo of more than USD$1 million Dollars, forming a new Latin American unicorn and the first to arise from a merger between a US and Mexican company.
  • Advised a Brazilian fund in its first and second round investments to Meru Holdings Limited, a formerly logistics and imports company with operations in Mexico, and its first-round investment to Nexu Global Limited, a leasing company with operations in Mexico.

Capital Markets:

  • Advised Orbia Advance Corporation in the USD$600 million, 1.875% and USD$500 million, 2.875% bond offering in the USA.
  • Advised Metalsa, a Mexican car component manufacturer in the USD$300 million, 3.750% bond offering in the USA.

Co-founded Cuencas Vivas, A.C., a nonprofit organization dedicated to preserving canals and dams in Jalisco, Mexico, that pursues sustainable farming and aquifer protection.
