DLA Piper advises Berenberg and Stifel Europe Bank on capital increase of Compleo Charging Solutions AG
DLA Piper has advised the consortium banks Joh. Berenberg, Gossler & Co. KG as Sole Global Coordinator and Joint Bookrunner and Stifel Europe Bank AG as Joint Bookrunner on a capital increase (rights issue) of Compleo Charging Solutions AG. The expected gross issue proceeds are expected to amount to up to EUR54.5 million.
The shares will be offered to the shareholders of Compleo at a subscription ratio of 4:1 and a subscription price of EUR 56.00. The subscription period runs from 26 November 2021 to 10 December 2021. Unsubscribed shares will be offered in an international private placement (rump placement) to institutional investors, including “qualified institutional investors” in the USA. The new shares will be listed for trading on the regulated market (Prime Standard) of the Frankfurt Stock Exchange.
Compleo plans to use the net issue proceeds in particular to finance the preliminary cash purchase price for the acquisition of innogy eMobility Solutions GmbH, on measures for integrating it into the Compleo Group and to further develop the product portfolio.
Compleo Charging Solutions AG is one of the leading full-service providers of charging technology in Europe. The company supports its business customers with its charging technologies as well as its charging stations, the backend of the charging infrastructure and, if required, also with planning, installation, maintenance and service.
