EXPERIENCE

  • Advising and assisting a leading logistics company in KSA with respect to its proposed acquisition of two logistics related entities in the UAE for USD16.2 million.
  • Advised and assisted a regional company on its exit strategy to a number of its portfolio companies. This includes drafting and advising on the share sale and purchase agreement, shareholder agreement along with relevant documentation until completion of the transaction.
  • Advised Bahrain Aluminium Extrusion Co. (Balexco) on its sale of Technical Middle East (Bahrain).
  • Advised and assisted a food and beverage company on its sale of shares amounting to circa USD5.6 million in a leading food and beverage company in Bahrain.
  • Advised and negotiated a settlement agreement on behalf of a leading family investment company against their joint venture partner in KSA. This included drafting a settlement agreement and assisted in advising them on the acquisition of the joint venture's stake in the company.
  • Assisted and advised a number of clients with respect to implementation of data protection framework in accordance with the Bahrain personal data protection law and its implementing regulations. This includes creating gap analysis, reviewing privacy policies and related policies.
  • Assisted and advised a global oil and gas company with reference the transfer of their employees to Bahrain including drafting employment contracts and relevant documentation.
  • Advised global biopharmaceutical companies on legal requirements regarding their right to data exclusivity, copyrights and patents and sale of medical devices in Bahrain.
  • Assisted and guided multinational companies and fintech companies in the establishment of their operations in Bahrain, as well as carrying out the necessary documentation and fulfilling the legal requirements for their local presence.
  • Advised Rain Financial their market entry strategy in accordance with the requirements set by the Central Bank of Bahrain, including the requirements under the Regulatory Sandbox. Rain Financial is one of the first three companies in the Middle East that exit the Regulatory Sandbox.
  • Assisted and advised a regional sovereign wealth fund of the viability in restructuring its funds to undertake real estate investments.
  • Assisted and advised one of the largest food and beverage company with respect to its regulatory compliance on product labelling, advertising and food safety.
