Mary has broad experience in corporate and commercial law. She advises local and international clients on domestic and cross-border M&A transactions, structuring and entity establishment (including joint ventures) and global reorganisations and amalgamations.

In addition, Mary regularly advises local clients on corporate governance, shareholding matters and company law compliance.

Mary supports clients across several industries but has a particular focus on the consumer goods, food and retail sector and healthcare sector.

EXPERIENCE

  • Advising Foodstuffs North Island Limited on its day-to-day legal matters and representing Foodstuffs in its capacity as franchisor and financier on transactions with owner operator franchisees (PAK'nSAVE, New World, Four Square, and Gilmours banners).
  • Advising Pfizer on New Zealand aspects of various global joint-ventures and reorganisations, as well as day-to-day business as usual advice including contractual arrangements with PHARMAC.
  • Advising pro bono client the Starship Foundation on its contractual arrangements with corporate sponsorship partners, supporters and service providers.
  • Advised Eke Panuku Development Auckland on the transfer and reorganisation of its substantial Auckland waterfront asset portfolio with Auckland Council.
  • Advised Kingspan Group plc on its acquisition of the business and assets of Conqueror New Zealand.
  • Advised The Mars Agency and its private equity partner Mountaingate Capital on its acquisition of The IN Group (NZ).
  • Team who advised AXA S.A. on the sale of AXA Singapore (AXA Insurance Pte Ltd) to HSBC Insurance (Asia Pacific) Holdings Ltd, a wholly-owned subsidiary of HSBC for USD529m.
  • Team who advised a consortium (led by SingLife , TPG Inc. and Sumitomo) on the merger of SingLife and Aviva Singapore valued at US$2.4 billion.
  • Advised Virtuos on its USD150m investment from Baring Private Equity Asia.
  • Advised TotalEnergies on its purchase of BlueSG's EV charging business from Bolloré Group.
