About

Giulia Isabella Valenzi is a Senior Lawyer in the Tax department and is based in the Rome office.

She advises both Italian and international clients on tax law and tax planning, with a particular focus on M&A transactions in the energy sector. She provides assistance on the tax aspects of the acquisition and disposal of assets in the wind, solar, storage, hydroelectric, and cogeneration sectors, as well as advising international investors on the tax structuring of transactions involving renewable energy project pipelines.

Since the earliest practical applications in Italy, Giulia Isabella Valenzi has supported multinational groups in all activities related to the implementation and development of the Tax Control Framework (TCF) (including the implementation and updating of the tax risk management and control model, testing activities, and the management of interpretative risk) as well as in activities connected with the certification and/or attestation processes of the TCF itself. She also assists companies both for the purposes of joining the Cooperative Compliance regime under Italian law and in relation to the exercise of the two year option for certified TCF.

In the compliance area, she also provides assistance in the management and analysis of DAC6 obligations, as well as in the drafting and/or updating of organizational models under Legislative Decree No. 231/2001, with particular focus on tax offenses.

EXPERIENCE

  • Securing the landmark Constitutional Court ruling No. 158 of July 21, 2020, which rejected the constitutional legitimacy challenge against Article 20 of DPR No. 131/1986 concerning the registration tax treatment of M&A transactions.
  • Structuring and executing the first offshore wind farm in the Mediterranean for an Italian energy group.
  • Advising one of Italy’s leading energy companies on the tax aspects of acquiring a wind energy business from a major international energy group.
  • Assisting Italian and multinational clients with the tax-related challenges of acquiring photovoltaic plants in Italy and structuring these transactions.
  • Supporting several international investment funds in structuring their investments in Italy, particularly in the energy sector.
  • Handling multiple transactions involving the purchase and sale of yachts and ships on behalf of foreign companies and private clients.

She is the author of numerous publications for the publishers IPSOA – Wolters Kluwer and Il Sole 24 Ore, as well as articles published in scientific journals, with a particular focus on topics related to the Tax Control Framework (TCF) and Cooperative Compliance. In 2023, she was one of the authors of the volume Riforma Fiscale (Giuffrè FL), and in 2025 she contributed to the volume Questioni attuali di tax governance e fiscalità internazionale (CEDAM), for which she authored all chapters relating to tax governance.
