Just in from Treasury: Restrictions on US outbound investments
Tuesday, December 17, 2024
The Biden Administration’s Final Outbound Investment Rule takes effect on January 2, 2025. This rule will prohibit US persons from engaging in, or require US persons to notify, the US government of certain transactions involving a “covered foreign person” that is engaged in “covered activities."
The rule marks a major change in the US investment environment and a significant development in US monitoring of outbound investments.
In this webinar, we discussed:
- Types of “covered transactions,” “covered foreign persons,” and “covered activities” subject to the Rule
- What it means for the Rule to extend to all “US persons”
- Exceptions for investment funds and publicly traded securities
- Diligence requirements for compliance with the Rule
- Potential penalties for noncompliance
