Adriana Küpper Pagés is a partner in Campos Mello Advogados of the Corporate Law and Mergers and Acquisitions practice, based in São Paulo, Brazil.

With over 15 years of experience, Adriana represents listed and private companies in a broad range of corporate and commercial matters, including M&A and private equity transactions, corporate reorganizations, and commercial contracts.

Before joining Campos Mello Advogados in 2018, Adriana worked as a corporate lawyer in renowned law firms and as in-house counsel at a multinational company in the agribusiness sector.

  • Acted as part of the international team advising Inicia in its acquisition from Gerdau S.A of 50% of Diaco S.A. and Gerdau Metaldom Corp., companies dedicated to steel production in Colombia and Dominican Republic.
  • Acted for Evernex Group in its acquisition of Maminfo, a Brazilian IT company operating as a third-party maintenance services provider.
  • Acted as part of the international team advising Colombian coffee producers in the formation of a joint venture company with Czech investors.
  • Acted as part of the international team advising Globant in the acquisition of a majority stake in GUT, an independent creative agency.
  • Advised local Family Investment Company in the subscription of new shares corresponding to 4% of the corporate capital of a Brazilian Corporation acting in the Auto Parts industry.
  • Acted for Elanco Saúde Animal in the acquisition of certain assets from Nutriquest Brazil.
  • Acted for Brazilian power company Eneva S.A. in its acquisition of Porto de Sergipe Power Plant – one of the largest gas-fired thermoelectric plants in operation in Latin America – from New Fortress Energy Inc. (NASDAQ: NFE) and its joint venture partner Ebrasil Energia Ltda.
  • Acted for The Ardonagh Group, the largest independent insurance distribution platform in the UK and one of the 20 largest insurance brokerage groups in the world, in its acquisition of MDS SGPS, SA from the SONAE Group and IPLF Holding S.A.
  • Participated in the negotiation of a commercial partnership between a major Brazilian pharmaceutical company and a publicly listed Canadian biopharma in relation to cannabidiol-based product.
  • Acted as part of the international team advising GE on multiple corporate reorganizations, including reorganizations that preceded the disposal of part of GE’s overseas Lighting business, and GE’s spin-off and merger of its Transport business with Wabtec Corporation.
  • Advised a global marketer of consumer and commercial products in negotiating and executing applicable 
    documents for the exercise of a call option right against minority shareholders in a Brazilian subsidiary.
  • Acted for Evernex Group in the strategic acquisition of A-systems, a Brazilian IT company operating as a thirdparty maintenance services provider.
  • Acted for the Jafra Group in the sale of its Brazilian subsidiary in the cosmetics industry.
  • Participated as in-house counsel in the sale of 100% of NovaAgri’s shares from P2 Brasil to the Toyota Tsusho Group.
