DLA Piper advises TecDax listed group ATOSS Software AG on conversion into a European company "Societas Europaea" and share split

DLA Piper has advised ATOSS Software AG on its conversion into a European company (Societas Europaea, SE) in terms of corporate and employment law. The change of legal form was approved by the Annual General Meeting on 30 April 2024 and successfully completed on 22 May 2024 with entry in the commercial register. The legal advice further included the simultaneous implementation of a share split by way of a capital increase from company funds, which was also resolved by the Annual General Meeting on 30 April 2024 and became effective on 7 June 2024 upon entry in the commercial register.

Regarding employment law aspects, DLA Piper advised ATOSS Software AG, based in Germany, with employees in six other member states of the European Union, on all matters relating to the formation of the special negotiating body and the conclusion of the employee participation agreement of the future ATOSS Software SE signed on 7 November 2023.

The conversion of ATOSS Software AG into a SE reflects the increasingly international orientation of the company. The SE is an attractive legal form for international contractual partners and for recruiting qualified employees and is therefore a logical step in the company's international development.

Based in Munich, ATOSS Software SE and its subsidiaries are providers of technology and consulting solutions for professional workforce management and demand-optimised workforce deployment. Whether time & attendance management, mobile apps, workforce forecasting, sophisticated workforce scheduling or strategic capacity and requirement planning, ATOSS offers its approximately 16,000 customers in 50 countries a variety of AI-supported solutions, primarily in the cloud. The shares of ATOSS Software SE are traded in the Prime Standard of the German Stock Exchange and are listed in the SDAX and TecDAX.

The DLA Piper team was led by partner Kerstin Schnabel and also included associate Dr Florian Engels (both Corporate, Cologne). Partner Pascal Kremp and senior associate Dr Felisa Frey (both Munich) advised on the employment law aspects.

In-house at ATOSS Software SE, the team was led by Dr Maximilian Hoffmann (General Counsel / Executive Director Legal & Compliance). Dr Hoffmann has led the legal department of ATOSS Software SE since 2019 and, together with his team of by now 10 employees, is responsible for data protection, information security and compliance in addition to the legal functions.
